UAB “Eurohorecana” Goods Purchase Rules
Terms and conditions for the purchase and sale of goods in the online store
1 General Provisions
1.1. These goods purchase and sale rules (hereinafter – the Rules) establish the terms and conditions for purchasing goods in the “Eurohorecana” online store (operating at www.eurohorecana.lt), the rights and obligations of the Buyer and the Seller, as well as the procedures regarding payment, delivery, contract withdrawal, and the resolution of claims and disputes.
1.2. The Seller is UAB “Eurohorecana” (legal entity code 300602629, VAT payer code LT100002661811, registered office address: Lentvario St. 33, Vilnius; e-mail: info@eurohorecana.lt; phone: +370 679 26605). The address for the return of goods and correspondence is info@eurohorecana.lt.
1.3. The Buyer is a natural or legal person purchasing goods. A Consumer is a natural person entering into a contract for purposes unrelated to their business, trade, craft, or profession. A Business Buyer is a legal person or a natural person purchasing goods for the needs of their business or professional activity.
1.4. Provisions regarding contract withdrawal, statutory warranties, and the resolution of consumer disputes apply only to Consumers. Business buyers are subject to general sales regulations and separately agreed terms; the statutory 14-day right of withdrawal does not apply to them.
1.5. Goods may be purchased by persons entitled to enter into the relevant transactions. A person acting on behalf of a legal entity must have the authority to represent it.
1.6. Before placing an order, the Buyer may review, save, and print the Terms and Conditions. By placing an order, the Buyer confirms having read and agreed to them. Mandatory statutory provisions take precedence over any conflicting terms within these Rules.
1.7. A specific order is governed by the version of the Terms and Conditions in effect at the time the order is placed. Amendments to the Terms and Conditions apply to subsequent orders and do not automatically alter contracts already concluded.
2 Ordering and Contract Formation
2.1. The Buyer may order goods online 24 hours a day, seven days a week. Orders are processed during the Seller’s business hours (08:00–17:00).
2.2. The Buyer selects the goods and quantities, provides the contact and delivery details necessary for order fulfillment, and chooses the delivery and payment methods. Before confirming the order, the Buyer may review and correct the information provided.
2.3. Before placing an order, the Buyer is clearly presented with the essential characteristics of the goods, the final price of the goods, delivery and other applicable charges, payment and delivery terms, and information regarding the right of withdrawal or exceptions thereto.
2.4. The contract is concluded when the Buyer clicks the "Order with obligation to pay" button or another equivalent button clearly indicating an obligation to pay. Placing an order creates an obligation to pay for the ordered goods using the selected payment method.
2.5. The Seller provides the Buyer, via the email address specified by the Buyer, with a contract confirmation containing the order details, the Terms and Conditions applicable to the concluded contract, and other mandatory information on a durable medium, such as in an email or an attachment thereto. The confirmation is provided within a reasonable time, but no later than at the time of delivery of the goods.
2.6. If, after the conclusion of the contract, it becomes apparent that the ordered goods are unavailable or cannot be delivered within the agreed timeframe, the Seller shall immediately inform the Buyer and propose a lawful solution. The goods shall not be substituted, nor shall the price or timeframe be altered, without the Buyer's consent. In the event of contract termination, any monies paid shall be refunded in accordance with the procedure established by law.
3 Prices and payment
3.1. Product prices are stated in euros, inclusive of applicable VAT and other mandatory taxes. The unit of sale, package size or quantity, and—where required—the price per standard unit of measurement are clearly indicated alongside the product.
3.2. Delivery costs and other applicable charges are indicated before the Buyer places an order. Additional paid services are selected only with the Buyer's explicit consent.
3.3. Available payment methods: bank transfer.
3.4. If prepayment is selected, the order must be paid for within a maximum of three working days of placement. If payment is not received, the Seller shall notify the Buyer and grant an additional three-day payment period. Upon the expiry of this period, the contract may be terminated in accordance with applicable legal requirements.
3.5. Terms for payment upon delivery or deferred payment—if such options are offered—are provided at the time of ordering or in a separate agreement between the parties.
3.6. The Buyer is provided with a document confirming the purchase. Invoicing details are provided at the time of ordering or agreed upon with the Seller.
3.7. The order price cannot be unilaterally increased after the contract has been concluded. Promotional terms apply in accordance with the offer published at the time the order was placed. When announcing a price reduction, the requirements established by legal acts regarding the presentation of the prior price and applicable exceptions are observed.
4 Obligations of the Buyer and the Seller
4.1. The Buyer shall provide accurate order details, pay the agreed price on time, and facilitate the delivery and acceptance of the goods. The Buyer shall notify the Seller as soon as possible regarding any noticed error or significant change in data.
4.2. Upon noticing inaccurate or incomplete data, the Seller may request clarification. Order fulfillment may be suspended only to the extent necessary to correct the error. Data is stored or deleted in accordance with legitimate processing purposes and retention periods.
4.3. The Seller shall provide accurate information about the goods, fulfill concluded contracts, and ensure the Buyer's rights as established by law.
4.4. In the event of a reasonable suspicion of fraud, unauthorized use, or a threat to the website's security, the Seller may proportionately restrict use of the website. Such a measure does not, in itself, negate the Buyer's rights under contracts already concluded.
4.5. The Seller may temporarily suspend or terminate the website's operations. This does not absolve the Seller of the obligation to properly fulfill contracts already concluded or to resolve their termination and any refunds in accordance with legal requirements. Buyers shall be informed as soon as possible of any disruptions significantly affecting order fulfillment.
5 Delivery and acceptance of goods
5.1. Available delivery and collection methods, their costs, and any restrictions are displayed on the website and prior to order confirmation.
5.2. Goods are delivered within one or two business days in the Vilnius district, and within 2–3 business days in other serviced areas of Lithuania, unless a different timeframe is clearly specified alongside the product or at the time of ordering.
5.3. If no specific delivery timeframe has been agreed upon, goods shall be delivered to the Consumer without undue delay, but no later than 30 days from the conclusion of the contract.
5.4. The Seller shall inform the Buyer upon becoming aware of a potential delay. The Consumer may set an additional reasonable timeframe for delivery and, should the goods not be delivered by the end of that period, terminate the contract. In cases provided for by law—including instances where the agreed delivery time is of the essence—setting an additional timeframe is not required.
5.5. Goods are handed over to the Buyer or a recipient designated by them. The risk of accidental loss or damage passes to the Consumer upon actual receipt of the goods by the Consumer or a third party designated by them (other than the carrier). Where the Consumer selects a carrier not proposed by the Seller, the risk passes in accordance with applicable legal provisions.
5.6. If delivery cannot be completed due to incorrect details provided by the Buyer or the Buyer’s absence, the parties shall arrange for re-delivery. The Buyer may only be charged reasonable additional costs that are legally applicable and have been explained in advance.
5.7. Upon receipt of the shipment, it is recommended to check the packaging, the quantity of goods, and for any obvious damage. If any issues are noticed, it is recommended to note them on the delivery documents, take photographs, and notify the Seller as soon as possible. Failure to take these actions does not in itself invalidate the Consumer's statutory rights.
5.8. The Seller may request photographs or other reasonable evidence to assess a claim; however, failure to provide them is not, in itself, grounds for rejecting the claim. Arrangements for the inspection or return of the goods are made if necessary.
5.9. Food products are delivered in compliance with applicable transport and temperature requirements. Upon receipt of the goods, the Buyer must adhere to the storage and consumption conditions specified on the label and in the product description. This does not absolve the Seller of liability for defects existing prior to delivery.
6 Product Information and Quality
6.1. The essential characteristics, sales unit, and quantity of the product are specified in its description. Additional items or multiple units shown in a photograph are not included in the sales package unless clearly stated in the offer. Images and descriptions must not be misleading.
6.2. Displayed colors may vary slightly due to screen settings; however, this does not absolve the Seller of the obligation to provide a product that conforms to the description and the contract.
6.3. When selling food, information required by law—including ingredients, allergens, quantity, storage and consumption conditions, and other data mandatory for the specific product—is provided prior to the order. The minimum shelf life or "use-by" date is provided no later than the time of product delivery, where an exception regarding prior disclosure applies.
6.4. Information regarding registered or approved food handling activities is published in a clearly visible location on the website: https://www.eurohorecana.lt/contact
6.5. The shelf life and storage conditions of a food product are assessed based on its nature. A statutory warranty does not imply that the food remains fit for consumption for two years or beyond the expiration date indicated on the label.
6.7. In the case of food or other goods that are unsuitable for repair due to their nature, a legal remedy compliant with the law shall be selected. Necessary costs associated with the return, inspection, or replacement of defective goods shall be borne by the Seller. Unsafe products must not be consumed.
6.8. Any additional commercial warranty provided shall be described alongside the product or in the warranty document. It may not limit the Consumer's statutory rights. Claims regarding quality made by business buyers shall be handled in accordance with the legal norms applicable to them and the agreement between the parties.
7 Consumer's right to withdraw from the contract
7.1. The Consumer may withdraw from a distance contract within 14 calendar days without giving any reason, except in the cases specified in Clause 7.9. The time limit begins on the day following the receipt of the goods by the Consumer or a person designated by them (other than the carrier). Where goods purchased in a single order are delivered separately, the time limit begins upon receipt of the last item; for goods delivered in installments, it begins upon receipt of the last installment.
7.2. Notice of withdrawal must be given before the expiry of the time limit via a clear statement sent by e-mail to uzsakymai@eurohorecana.lt.
7.3. Upon withdrawing from the contract, the Consumer shall return or dispatch the goods no later than 14 calendar days after notifying the Seller of the withdrawal. Return address: Lentvario St. 33, Vilnius. The time limit is met if the goods are dispatched before the period expires.
7.5. The Consumer shall bear the direct costs of returning goods of satisfactory quality, provided they were duly informed of this prior to concluding the contract. If the goods cannot normally be returned by post due to their nature, the amount of these costs or a reasonable estimate thereof shall be provided before the order is placed. This clause does not apply to the return of defective or incorrectly delivered goods.
7.6. The Seller shall refund the price paid for the goods and the standard delivery costs no later than 14 calendar days after receiving the notice of withdrawal. Additional costs resulting from a more expensive delivery method chosen by the Consumer shall not be refunded. In the event of a partial withdrawal from an order, delivery costs shall be refunded to the extent required by applicable legal provisions.
7.7. Refunds shall be made using the same payment method, unless the Consumer expressly agrees to a different method that does not incur additional costs for them. The seller may withhold the refund until receipt of the goods or proof of their dispatch—whichever occurs first—unless the seller has offered to collect the goods.
7.8. The consumer is liable only for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods. The mere absence or opening of the original packaging does not in itself invalidate the right of withdrawal, subject to statutory exceptions. Failure to provide information regarding the right of withdrawal triggers the statutory rules concerning the extension of time limits and liability.
7.9. The right of withdrawal does not apply to: goods made to the consumer’s individual specifications or clearly personalized; perishable goods or goods with a short shelf life; packaged goods that have been unsealed after delivery and are unsuitable for return for health protection or hygiene reasons; goods that, after delivery, have become inseparably mixed with other items due to their nature. Other exceptions set out in Article 6.228¹⁰, Paragraph 2 of the Civil Code apply only to the specific transaction and provided that the consumer was informed of them prior to the conclusion of the contract.
7.10. Not all food products automatically fall under the exceptions to the right of withdrawal. Specific exceptions are assessed based on the product's characteristics, shelf life, packaging, and applicable law. Exceptions to the right of withdrawal do not negate rights regarding goods that are defective, unsafe, or do not conform to the order.
8 Personal data and communications
8.1. The Seller processes only the Buyer's data necessary for legitimate purposes. Data related to order fulfillment is processed on the basis of the conclusion and performance of the contract; accounting data is processed in compliance with legal obligations; and other data is processed based on an appropriate legal ground.
8.2. Information regarding the data controller, purposes, legal grounds, recipients, retention periods, potential transfers outside the European Economic Area, data subject rights, and the procedure for lodging a complaint with the State Data Protection Inspectorate is provided in the Privacy Policy.
8.3. Data necessary for order fulfillment may be transferred on a lawful basis to delivery, payment, IT, and other service providers, as well as to authorities when required by law. Categories of recipients and safeguards are described in the Privacy Policy.
8.4. Direct marketing communications are sent upon receipt of separate, voluntary consent. Such consent is not a mandatory condition for purchase and may be withdrawn free of charge at any time via the method specified in the communication or by contacting the Seller. Withdrawal of consent does not affect the lawfulness of processing carried out prior to such withdrawal.
8.5. Notifications regarding orders, payments, delivery, and the handling of claims are sent to the contact details provided by the Buyer for purposes necessary to fulfill the order. The Buyer is advised to also check their spam folder. Disruptions in the delivery of notifications do not, in themselves, exempt the Seller from mandatory information and contract performance obligations.
8.6. Non-essential cookies are used in accordance with specific cookie information and, where required, only upon receipt of consent. Consent to these Rules does not constitute consent to the use of non-essential cookies.
9 Claims and Dispute Resolution
9.1. The Buyer shall submit inquiries and claims via email to info@eurohorecana.lt. The Buyer is requested to provide the order number or other proof of purchase, a description of the issue, and the desired resolution. A purchase may be substantiated not only by a cash register receipt but also by other reliable evidence.
9.2. The Seller shall review the Consumer’s inquiry free of charge and provide a detailed, reasoned written response supported by documentation no later than 14 calendar days after receipt. If the claim is rejected or only partially upheld, the response shall include information regarding the competent entity for the out-of-court resolution of consumer disputes.
9.3. If the Seller does not uphold the Consumer’s claim, upholds it only partially, or fails to respond within the prescribed time limit, the Consumer may apply to the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba) if the dispute falls within its competence: A. Goštauto St. 12, LT-01108 Vilnius, https://vvtat.lrv.lt, or submit a request via the Consumer Rights Information System at https://vtis.lt. A different institution may have jurisdiction depending on the nature of the dispute.
9.4. Out-of-court dispute resolution does not preclude the right to apply to a court. Disputes involving business buyers are resolved through negotiations; if an agreement cannot be reached, they are resolved in a competent court in accordance with applicable legal provisions.
10 Liability and Final Provisions
10.1. The Parties are liable for breaches of their obligations in the manner prescribed by law. These Rules do not limit liability that cannot be limited by law, nor do they restrict mandatory consumer rights.
10.2. Exemption from liability due to *force majeure* applies only under the conditions established by law. The other party must be informed as soon as possible of such circumstances and their impact on the performance of the contract. A delay on the part of a service provider engaged by a party does not, in itself, constitute *force majeure*.
10.3. These Rules and contracts are governed by the law of the Republic of Lithuania. If the Seller directs its activities towards consumers in other countries, such a choice of law does not deprive them of the mandatory protection afforded by the law applicable under the rules of private international law.
10.4. The invalidity of one provision does not render the other provisions invalid. Relevant legal provisions apply in place of any invalid term.
10.5. Version and effective date of the rules: 2018-01-01. Terms applicable to previous orders are retained in a manner that allows the specific version applied to a particular order to be identified.
